The use of the Site at www.your-friends-in-israel.com (the “Site“) is subject to the Terms and Conditions detailed below. Please read the Terms and Conditions carefully, as your use of the Site and the services it offers constitutes your agreement to said terms.

Please note that Maayan Yani, licensed dealer No. 301393484 (the: “Site Operator“), is the owner and operator of the Site and may change the said terms at any time and at its sole discretion.

The Site offers information to anyone who is interested to travel in Israel. The Site shall provide its Users recommended sites in Israel, daily tours, recommended locations, restaurants, cafes and more.

The Site Operator reserves the right to offer in the future, individual touring services as well as the option to purchase tickets for different Attractions and activities (“Attractions“), that will be available for purchase through Viator Inc (“Viator“) at: https://www.viator.com.

You will find hereunder a summary of our Terms of Use, which are intended to help you understand the main terms of the agreement between you and the Site Operator, although they do not replace our full Terms of Use.

The Site Operator Full Terms of Use are detailed in the sections follow the summary hereunder and shall be considered as a binding agreement between the Site Operator and the Site Users.

Your agreement with the Site Operator is comprised of the following documents: Terms of Use, Privacy Policy and Cookies Policy. All are available on the Site and by clicking the relevant document above.

For your attention, your use of the Site and purchasing Attractions (as these may be available in the future), constitutes your agreement and approval of the Site Terms of Use, Privacy Policy and Cookies Policy.

The use of plural and/or male and/or female is done for convenience only and is directed to all Users.

Please find below an abstract of the Terms of Use, which shall not replace the full Terms of Use detailed below:

1. Any use of the Site shall be subject to the Terms of Use hereunder.
2. The User must read the Terms of Use prior to Using the Site and make sure that he agrees to such terms. Please do not use the Site if you do not agree with its terms and conditions.
3. Use of the Site is at the User’s sole responsibility.
4. In order to enter the Site, a User must be a person (acting on his behalf or on behalf of a corporation) at least 18 years of age and must be legally competent to enter an engagement.
5. The Site Operator may modify the Terms of Use from time to time, at its sole discretion, without providing prior notice to the Users.
6. The Site Operator may cease operating the Site, in whole or in part, including the provision of any service on the Site, as well as change the services, in whole or in part, at any time, without prior notice and/or any obligation to provide any reason what so ever.
7. The prices of the Attractions shall be as published on the Site from time to time, the prices are subject to change without notice. Prices on the Site include VAT.
8. Various Attractions and services can be purchased within the Site through Viator and as detailed in the Terms of Use.
9. The Site markets, advertises and enables the purchase of Attractions that are actually provided and operate by third parties. These third parties Attractions, will be under the sole liability of the third parties. The Customer hereby waives any claim, against the Site Operator in connection with such Attractions that he will purchase through the Site.
10. The User and\or the Customer hereby waives any claim and\or demand against the Site Operator (including any related Company, shareholders, directors, officers, employees and anyone acting on their behalf and/or on their behalf), including any direct or indirect damage, arising from any reliance on information published on the Site. The Site Operator shall not be responsible for any actions as a result of any person’s actions.
11. Nothing in these terms or in the content appearing on the Site constitutes a recommendation, advice or an opinion regarding any travel itinerary or any other matter arising from the actual trip to Israel or participating the Attractions.
12. Cancellation of purchase of Attractions will be carried out directly with Viator in accordance with the cancellation policy of Viator and\or the Supplier, as it will be relevant.
13. All intellectual property rights (including copyrights) on the Site and any information published on the Site shall be the exclusive property of the Site Operator and/or Supplier, as relevant.
14. No one who enter the Site shall use, reproduce, copy (including through storage by electronic or other technological means), distribute, create derivative works, display, broadcast, perform publicly and/or make available to the public (including by electronic means) any intellectual property related to the Site (including contents digital), travel plans, Attractions or any other information, which is not in accordance with these terms, without prior written consent of the Site Operator.
15. By entering and using the Site, the User has agreed and approved that the use of the Site is enabled to him on an ‘As-Is’ and ‘As-Available’ basis only, without any liability and obligation on behalf of the Site Operator. The Site Operator shall not be responsible for any direct and/or indirect damage, monetary or non-monetary, related to the operation of the Site and/or acting according to the content published on it.
16. Each User and Customer undertake to indemnify and compensate the Site Operator in any case in which he violates the Terms of Use.
17. Any claim by a User or Customer for any cause against the Site Operator expires within one year from the day the User first became aware of it.
18. The law applicable to any dispute and/or interpretation regarding the regulations is Israeli law only. The exclusive jurisdiction will be given to the competent court in Tel Aviv Jaffa, only.

Terms of Use

Introduction

1. The User’s engagement with the Site Operator (as defined below) with respect to using and browsing the Site, purchasing Attractions, is subject to these Terms of Use.
2. Subject to compliance with the Terms of Use, the Site Operator grants the User a limited, non-exclusive, non-transferable and non-sublicensable license to use the Site subject to and in accordance with the Terms of Use.

Definitions

The terms listed below will have the meaning that appears next to them, unless the context requires otherwise:

1. “The Site Operator” – the Site operated by Maayan Yani, licensed dealer No. 301393484.
2. “The Site” – website at: www.your-friends-in-israel.com.
3. “Customer” – a User who purchase Attractions
4. “User” – anyone who access the Site, including a random User who consume content appearing on the Site, as well as a Customer.
5. “Content” – any content in any format and media (whether it exists today or in the future), including video, images and text published on the Site.
6. “Terms of Use” – these Terms of Use of the Site User below and the Privacy and Cookies Policy published on the Site.

Binding agreement between the parties

1. The use of the Site is subject to the provisions of the Terms of Use and constitutes a binding agreement between User and the Site Operator. The Terms of Use are a binding legal document for everything and anything between anyone who enter the Site and the Site Operator.
2. Use of the Site is at the User’s sole responsibility.
3. Use of the Site, including the option to purchase Attractions through Viator is allowed only for individuals who have accepted the Terms of Use (and any applicable terms and conditions of Viator). Acceptance of the Terms of Use by the User is a condition for using the Site.
4. In order to enter the Site, a User must be a person (acting on his behalf or on behalf of a corporation) at least 18 years of age and must be legally competent to enter an engagement. By using the Site, any User younger than 18, or who does not have the competence to enter this engagement, according to applicable law at his location, confirms that he had received his legal guardian’s approval to use the Site. By using the Site, any User acting on behalf of a corporation confirms his legal authority to enter the Agreement to use the Site on behalf of such corporation. Inasmuch as a User is under the age of 18 and/or has no competence or corporation authority to enter this engagement (according to this terms and applicable local law) and had not received his legal guardian’s approval – he may not use this Site.
5. The headings of the articles of these Terms of Use are intended for ease of reading only and will not be used to interpret the content of the articles.

Modification of the Terms of Use

1. The Site Operator may modify the Terms of Use from time to time, at its sole discretion, without providing prior notice to the Users.
2. The User must read the Terms of Use prior to using the Site and make sure that he agrees to such terms. Accordingly, User is advised to keep the Terms of Use for future reference and comparison.
3. Notwithstanding the aforementioned, changes in the Terms of Use will apply only in respect with transactions that have not yet been completed as of the date of the change in the Terms of Use. The Site Operator is entitled to stipulate the continued use of the Site on the re-approval of the Terms of Use or the changes therein.
4. The Site Operator may cease operating the Site, in whole or in part, including the provision of any service on the Site, as well as change the services, in whole or in part, at any time, without prior notice and/or any obligation to provide any reason what so ever, all in accordance with and subject to the Terms of Use.
5. The User hereby waives any claim, and/or demand against the Site Operator in connection with changes and/or cease of activity as mentioned above. With changes and/or interruptions of activity as mentioned above.

Purchase of Attractions

1. The Attractions shall be available for purchase by the User directly from Viator. By clicking the Attraction, the User wishes to purchase, the User will be directed to Viator website, in order to complete his purchase. The Costumer (who purchase the Attraction) shall be considered for all purposes as entering into a purchase engagement directly with Viator, subject to Viator terms of use, cancellation policy, privacy policy and any other provision that will apply in connection with placing the order with Viator. Viator will be solely responsible for the order, the purchase and supplying the Attractions to the Customer.
2. It should be noted that, the Site Operator serves only as a platform for the purpose of marketing and directing the User to Viator, in order to purchase Attractions. Accordingly, the Site Operator and/or anyone on its behalf shall not bear any liability in connection with the Attractions or any representation or any other information that appears on the Site with regard to the Attractions.
3. The Site Operator may market in the future and advertise the purchase of various Attractions on the Site (such as: daily tour itineraries, guided tours, entrance to Attractions, etc.), which are provided and operate by third parties (each a “Supplier“).
4. Although the Site Operator makes every effort to ensure that all Attractions marketed on the Site are in high standard, it is hereby clarified that the Supplier shall bare the sole liability for their quality and their availability on the Site shall not be considered as an indication of their quality or constitute any recommendation by the Site Operator for the purchase of these Attraction.
5. The complete liability for any service provided by the Supplier lies with the Supplier and the Site Operator shall not bear any liability in connection with Attractions and any services provided by the Supplier, save to the Site Operator responsibility to place an order in the name of the Customer with the relevant Supplier. The Customer hereby waives any claim, and\or demand against the Site Operator in respect with any Attestations or services to be provided by the Suppliers as detailed above.
6. Participation in the Attractions shall be under the Customer sole responsibility and it’s been provided to the Customer on an ‘As-Is’, and ‘As-Available’ basis only, without any obligation of the Site Operator. The Customer hereby waives any claim and\or demand against the Site Operator (including any related Site Operator, shareholders, directors, officers, employees and anyone acting on their behalf and/or on their behalf), including any direct or indirect damage, arising from any reliance on information published on the Site. The Site Operator shall not be responsible for any action or result of an action of any person.
7. Nothing in the content appearing on the Site constitutes a recommendation or advice or opinion regarding a travel itinerary or any other matter arising from the actual trip to Israel and participating the Attractions. The Customer must verify the data, conduct independent inquiries and act in accordance with his wishes, limitations, laws and rules of the place and Sites, the relevant conditions in the Attraction site, etc.

Payments, prices and promotions

1. All prices shown on the Site relating to purchasing Attractions, are at the sole discretion of and liability Viator. The Customer shall not have any claim against the Site Operator relating to Viator prices of Attractions.

Transaction cancellations

1. In the event that a Customer wishes to cancel a purchase he made, the cancellation of the purchase will be carried out directly with Viator in accordance with the cancellation policy of Viator and\or the Supplier, as it will be relevant. The Customer should read carefully the respective cancellation policy prior to completing any purchase. The Site Operator will not bear any responsibility for canceling a purchase through Viator.

Support and service

1. The Site Operator shall provide the User and/or Customer with support and service in connection with the use of the Site and its operation during the Site Operator normal working hours, which are Sunday-Thursday, between the hours of 09:00 and 17:00 Israel time, excluding Israeli holidays (including holiday eves) .
2. The Customer will be entitled to contact the Site Operator to receive support and service at: [email protected].

Intellectual Property

1. All intellectual property rights (including copyrights) relating to the Site and the content published on it, including the Site Operator’s name, trademarks (whether registered or not) and copyrights, including (and without derogating from the above): its design, applications, content and computer code related to the Site and design Its User experience (UX/UI), will be the exclusive property of the Site Operator.
2. Publishing content on the Site or providing access to it does not grant any right to any third party therein, except as expressly stated in these Terms of Use.
3. Without derogating from the generality of the foregoing, it is clarified that no one may use, reproduce, copy (including through storage by electronic or other technological means), distribute, create derivative works, display, transmit, publicly perform and/or make available to the public (including by electronic means) any intellectual property related to the Site (including digital content), which is not in accordance with these Terms of Use or prior written consent of the Site Operator.
4. With the exception of the permitted use of the Site as stated in these Terms of Use, no use of the Site, data or information published on it, may be made without the consent of the Site Operator, including scanning the content, processing it, cataloging it and presenting it in other media.
5. Nothing in the Terms of use and/or anything appearing on the Site constitutes as granting of any rights regarding intellectual property rights in any part of the services offered on the Site, including the Site Operator’s property or the content uploaded by it.

External links

1. Content published on the Site may be linkable and shared on other Sites that are not owned or controlled by the Site Operator. The Site Operator has no control whatsoever and disclaims any liability with respect to Content published on other Sites and platforms, including rules of ethics, privacy, intellectual property etc., that apply to other Sites and platforms.

Limitation of liability

1. By entering and using the Site, each User has agreed and approved that the use of the Site is enabled to him on an ‘As-Is’ and ‘As-Available’ basis only, without any liability and obligation on behalf of the Site and the Site Operator, except as specifically specified in Terms of Use.
2. Any use of the Site is at the sole responsibility of the User.
3. The Site Operator does not warrant that the Site, including the Content, will be free of faults, failures, errors and disturbances (including computer viruses). does not warrant that any information on the Site is full, accurate and fit to any purpose.
4. The Site Operator (including any related Company, shareholders, directors, officers, employees and anyone acting on their behalf and/or on their behalf) shall not be liable for any direct or indirect damage, monetary or non-monetary, damage to property of one kind or any other related damage to the Site and /or arising from the Site, and/or entering it, and/or from the content that is be published on the Site (including bodily harm), as well as any direct or indirect damage related to the operation of the Site and/or acting according to the content published on it, including without limitation, availability problems, communication malfunctions, a purchase made using a credit card without the owner’s consent, a purchase made by a minor or a minor without the consent of his parents and/or guardian, an action performed by any third party that will cause damage to the Site and/or use the User’s password without permission. The User and the Costumer hereby waive any such claim against the Site Operator.
5. ANY CLAIM BY USER AND\OR COSTUMER FOR ANY REASON OR GROUNDS AGAINST THE SITE OPERATOR LIMITED TO ONE YEAR AS OF THE DAY ON WHICH THE USER AND\OR COSTUMER WILL BECOME AWARE OF IT FOR THE FIRST TIME.

Site Security

1. User shall not perform or attempt to perform actions to disrupt the Site’s activity, including:
   1. Unauthorized access to servers, accounts and/or data;
   2. Using the Site under a false identity and/or impersonating another and\or false IP address;
   3. Testing, scanning and/or sampling of the Site, including attempts to test the Site’s permeability;
   4. Inruption and/or attempt to disrupt the services provided on the Site and/or the activity of the servers through which the Site operates.

Breach and Indemnification

1. Violation of the Terms of Use may lead to the termination of the possibility of a User or Customer to use the Site, to conduct legal proceedings and/or the use of any other legal means against the violating User or Customer.
2. Without derogating from the provisions of the applicable law, each User and Customer undertakes to indemnify and compensate the Site Operator, its employees, managers, shareholders or anyone on its behalf, in any case where it violates the Terms of Use and/or act in connection with the Site, its services and/or the content contained therein or any other content that will be provided by the Site Operator, not under the law and/or the provisions of the Terms of Use
3. Indemnification as set forth above will cover any and all expense, payment, loss, loss of profit or any other damage, direct or indirect, monetary or non-monetary, incurred by the Site Operator, including any of its employees, managers, shareholders or anyone on its behalf, including legal expenses and attorneys’ fees.

Assignment of rights

The Site Operator is authorized to assign its own rights and obligations under this Agreement to any third party, without notifying the Users and Customers and without receiving their approval.

Non-Waiver

No delay or failure by the Site Operator to exercise any right under these Terms of Use, and no partial or single exercise of that right, shall constitute a waiver of that or any other right, unless otherwise expressly provided herein.

Governing law and jurisdiction

The law governing any and all disputes and/or interpretation concerning this Agreement and the Site is the Israeli law only.
The exclusive jurisdiction shall be granted to the authorized court of law in the district of Tel-Aviv – Jaffa, Israel, only.
